Terms and Conditions for Meta Ads Management – Webtoun Ltd.

These Terms and Conditions (“Agreement”) govern the Meta Ads Management Services (“Services”) provided by Webtoun Ltd. (“Webtoun”, “We”, “Us”, “Our”) to you (“Client”, “You”).

 
1. Scope of Services
 
Webtoun will:

• Create, manage, and optimise Meta Ads (Facebook & Instagram) on behalf of the Client.

• Provide performance reports as agreed (e.g., weekly or monthly).

• Use the Client’s Ad Account or Webtoun’s Business Manager as per agreement.
  
   

2. Client Responsibilities
The Client agrees to:

• Provide access to their Meta Business Suite and ad account if requested.

• Provide accurate information, creatives, and ad copy approvals within agreed timelines.

• Ensure compliance with Meta’s advertising policies and UK advertising standards.

• Maintain sufficient payment method/funding in the ad account if the ads are run from the Client’s ad account.
  
   

3. Payment Terms

• All fees for Webtoun’s services are payable in advance and are separate from advertising spend.

• Ad Spend Responsibility: The Client is solely responsible for all advertising spend on Meta platforms.

• This includes setting budgets, funding the ad account, and maintaining valid payment methods.

• Webtoun does not handle or process ad spend payments unless explicitly agreed in writing.

• If Webtoun temporarily manages ads via its own account, all ad spend must be prepaid by the Client and is non-refundable once the campaign begins.

• Webtoun accepts no liability for campaign pauses, delays, or underperformance caused by insufficient ad funds, declined payments, or spending limits.
  
   

4. Refund & Cancellation Policy

• Webtoun charges for time and expertise, not guaranteed results.

• Once a campaign setup or management month begins, no refunds will be issued.

• Either party may terminate services with 14 days’ notice. If the campaign was prepaid, service will continue until the paid period ends.
   

5. Performance Disclaimer

• Webtoun does not guarantee specific outcomes, including leads, conversions, sales, or ROI.

• Performance depends on multiple variables: product/service quality, audience behaviour, offer, budget, seasonality, etc.
  
   

6. Approval & Responsibility
 

• Final responsibility for ad content lies with the Client.

• Webtoun will seek approval on ad creatives before going live. If approval is delayed or denied, Webtoun is not liable for performance delays.

• If the Client insists on running a campaign against Webtoun's strategic advice, the outcome is solely the Client's responsibility.
  
   

7. Intellectual Property

• All content created by Webtoun (ad copy, graphics, targeting strategy) remains Webtoun’s intellectual property unless otherwise agreed.

• Client retains rights to their own brand materials and assets provided to Webtoun.
  
   

8. Limitation of Liability

• Webtoun shall not be liable for:

  • Platform downtime or changes in Meta’s algorithms/policies.

  • Rejected ads due to Meta policies.

  • Any loss of revenue, business, goodwill or data.

• Total liability is limited to the amount paid by the Client for the specific month in dispute.
  
   

9. Confidentiality

• Both parties agree to keep confidential all business, strategy, and account access information.

• Webtoun will not share or disclose campaign results or strategy with third parties unless authorised in writing.
  
   

10. Legal & Compliance

• These terms shall be governed by the laws of Scotland and the United Kingdom.

• Any disputes shall be resolved under the jurisdiction of Scottish courts.

11. Agreement

By making payment or engaging Webtoun to manage Meta Ads, the Client confirms they have read, understood, and agreed to these Terms and Conditions.

 
12. Promotional Use
Webtoun reserves the right to use original artwork and digital files for promotional purposes unless the Client requests otherwise.
